1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Innovative Online Interactions Plus ("IOI+", "we", "us", or "our"), concerning your access to and use of our services, including our website, applications, software, and programs (collectively, the "Services").
2. Definitions
Services
All services provided by IOI+, including but not limited to web development, mobile applications, computer education, IT services, and HACKATEEN programs.
Content
All text, graphics, images, software, audio, video, information, or other materials available through the Services.
User
Any individual or entity that accesses or uses our Services.
HACKATEEN
Our youth innovation program for teenagers aged 13-19 focused on coding, software engineering, and technology education.
3. Eligibility and Registration
General Users
You must be at least 18 years old to use our Services independently. By using our Services, you represent and warrant that:
- You have the legal capacity to enter into these Terms
- You are not a minor in your jurisdiction
- You will not access the Services through automated or non-human means
- You will not use the Services for any illegal or unauthorized purpose
HACKATEEN Participants
Participants in our HACKATEEN program must be between 13 and 19 years old. Additional requirements include:
- Parental consent for participants under 18
- Commitment to program rules and code of conduct
- Adherence to safety guidelines during program activities
4. Services Description
IOI+ provides the following categories of services:
Technology Services
- Web and mobile application development
- Custom software solutions
- UI/UX design services
- Point of Sale systems
- General IT services and contracts
Education Services
- Computer education and training
- HACKATEEN youth innovation program
- Technical workshops and seminars
Creative Services
- Print, graphics, and multimedia design
- Brand identity development
- Marketing materials creation
5. Intellectual Property Rights
Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.
User-Generated Content
For HACKATEEN participants and users who submit projects, code, or other materials:
- You retain ownership of your original work
- You grant IOI+ a non-exclusive, royalty-free license to use, display, and promote your work for educational and promotional purposes
- You warrant that you have all necessary rights to submit the content
6. User Responsibilities
As a user of our Services, you agree to:
- Provide accurate and complete information when required
- Maintain the security of your account credentials
- Use the Services only for lawful purposes
- Not attempt to circumvent any security measures
- Not interfere with or disrupt the Services
- Not use the Services to distribute malware or engage in hacking
- Respect the intellectual property rights of others
- Comply with all applicable laws and regulations
7. Payment Terms
For paid services, the following terms apply:
- All fees are quoted in the currency specified at checkout
- Payment is due according to the agreed schedule
- Late payments may incur additional charges
- Custom development projects require a deposit before work begins
- Refund policies vary by service type (detailed in service agreements)
8. Service Modifications and Availability
We reserve the right to:
- Modify or discontinue any Service at any time
- Change pricing with reasonable notice
- Limit access to Services for maintenance or security reasons
- Update or change features without prior notice
9. Limitation of Liability
To the maximum extent permitted by law, IOI+ shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your transmissions or data
- Statements or conduct of any third party on the Services
- Any other matter relating to the Services
10. Indemnification
You agree to defend, indemnify, and hold harmless IOI+, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. HACKATEEN Program Terms
Special Notice for HACKATEEN Participants and Parents:
Eligibility and Participation
- Open to teenagers aged 13-19
- Parental consent required for participants under 18
- Participants must abide by program rules and code of conduct
- IOI+ reserves the right to remove participants for inappropriate behavior
Safety and Supervision
- Online sessions are monitored by trained staff
- Appropriate content filtering and monitoring systems are in place
- Emergency contact information must be provided
- Participants agree to follow all safety guidelines
Intellectual Property in Projects
- Participants retain ownership of their project work
- IOI+ may showcase projects for educational and promotional purposes
- Team projects may have shared intellectual property rights
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms shall be resolved through good faith negotiations. If such negotiations fail, disputes shall be submitted to mediation in Tech City, Nigeria, before pursuing other legal remedies.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the modified Terms.
14. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

By using our Services, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. If you do not agree to these Terms, you must not use our Services.
